Version 3.4. Version effective date: October 5, 2026. This version replaces version 3.3 and every earlier version.
These Terms are between:
(1) HEALTHY WEALTHY NWISE, LLC, a Wyoming limited liability company of 1309 Coffeen Avenue, Suite 1200, Sheridan, Wyoming 82801, with an address for notice at 3564 Avalon Park E Blvd, Suite 1-2015, Orlando, Florida 32828, trading as Temporal Intelligence ("TI", and "we", "us" and "our"); and
(2) you, the person who has applied to the Program and been accepted (the "Authorized Provider", and "you" and "your").
"TI" means Healthy Wealthy nWise, LLC and nothing else. "Temporal Intelligence" names a trading name and a mark, and never names a party.
A. TI produces and sells written diagnostic reports and related services under the Temporal Read, Temporal Intelligence, AKASHA and Structural Architecture names (the "Products"). TI produces every report and delivers it to the person it is about.
B. TI also sells Redemption Certificates at a wholesale price to selected coaches and practitioners, who buy them as inventory for resale to their own clients, in quantities they determine, at prices they set. An Authorized Provider markets and sells access to a report and does not produce, prepare or deliver it. TI is not a party to, and takes no part of, the transaction between an Authorized Provider and that Authorized Provider's client.
NOW IT IS AGREED:
A.1 One document. These Terms and Schedule 1 are the whole of the agreement between you and TI about the Program. There is no separate provider agreement, licence, standard, addendum or side letter, and none will be offered to you.
A.2 You agree by ticking the box. On TI's application page you are shown a statement that you have read these Terms, with a link that opens them in full. You agree by ticking a box, which is not ticked for you, stating that you have read these Terms and agree to be bound by them if your application is accepted. You cannot submit an application without ticking it.
A.3 Applying is an offer. Acceptance is TI's act.
(a) Submitting an application is your offer to enter into these Terms. Applying costs nothing, commits you to buy nothing, and creates no Program relationship. Until TI accepts, you are not an Authorized Provider, hold no designation, have no licence under Article 3, and owe TI nothing.
(b) Acceptance is at TI's sole discretion, is not guaranteed, and cannot be purchased, expedited or influenced by any payment or by any prior purchase from TI. TI may decline any application and is not required to give a reason.
(c) These Terms take effect between you and TI on the date TI notifies you in writing that your application is accepted (the "Effective Date"), and not before. TI's notice states that date and the version of these Terms you agreed to.
A.4 The record. TI records, against your application, the date and time you ticked the box and the version of these Terms then in force. That version governs from the Effective Date until a later version takes effect under Article 13.2. You agree that TI may keep that record electronically, that it is admissible, and that you will not object to its enforceability on the ground that it is not signed on paper. These Terms are agreed electronically and in no other manner.
This Article states terms of this agreement, not a summary of them.
B.1 There is nothing you have to buy, ever. Applying is free, being accepted is free, and staying accepted is free. There is no fee, royalty, subscription, minimum, quota, or required purchase, tool, training or material, at any time. If you never order a Certificate you are still an Authorized Temporal Intelligence Provider in good standing, and TI will not condition your designation, standing, access, support or price on how much you order or how often.
B.2 Nothing is refunded, in either direction. Certificates are not refundable, not exchangeable, and not repurchased by us, redeemed or not, whether or not your participation ends. If you buy Certificates and never use them, that money is spent. We also do not refund your clients.
B.3 Our guarantee does not reach your client. Any money-back guarantee we publish on a report bought directly from us applies to that direct purchase only. It does not travel to a client who receives a report through you, and it is not available to you on a purchase of Certificates.
B.4 We will not mediate a dispute between you and your client. You set the price, you make the agreement, and you carry it. We take no position in any dispute between you and them and owe you nothing in relation to one.
B.5 We do not send you clients. We supply no leads, no referrals, no territory and no market. We sell directly to the public everywhere, including where you sell, and we may appoint any number of Authorized Providers in your own market.
B.6 We make no representation about what you will earn. We publish no income figure, average, example or projection, and nobody at Temporal Intelligence is permitted to tell you what you might make.
B.7 Reports are provided as is, and we guarantee no outcome for any person.
B.8 You are an independent business. Nothing here creates an employment relationship, agency, partnership, joint venture or franchise, and neither of us may bind the other or hold itself out as able to. You are responsible for your own taxes, insurance, licensing and compliance.
B.9 You are agreeing to real obligations. These Terms contain an indemnity you give us at Article 12.4, confidentiality obligations at Article 10, a licence of our marks with conditions attached at Article 3, binding arbitration and a class-action waiver at Article 14.8, and restrictions on what you may say at Articles 7 and 8. Read them.
1.1 In these Terms:
(a) "Approved Materials" means statements, descriptions and materials concerning TI, the Products and the Marks that TI has supplied to you or approved in writing for your use.
(b) "Certificate" means a digital code issued by TI, redeemable for one (1) Designated Report. It carries no dollar amount on its face, represents no monetary balance, and is not a gift card or a gift certificate.
(c) "Client" means a person to whom you supply a Certificate.
(d) "Designated Report" means a Report that TI has designated in writing as available to Authorized Providers, being the Report TI identified for a Certificate when that Certificate was bought. The Structural Architecture report is a Designated Report.
(e) "Marks" means the trademarks, service marks and designations listed in Schedule 1 Part A.
(f) "Materials" means the methodology, frameworks, report formats, templates, software and other materials TI uses to produce the Reports, together with the Reports themselves.
(g) "Program" means the Temporal Authorized Provider Program.
(h) "Redemption" means the event at which a valid Certificate code is accepted by TI's redemption system and spent, so that the Certificate is no longer redeemable.
(i) "Report" means a written diagnostic report produced by TI.
(j) "Wholesale Price" means the price you actually paid TI for a particular Certificate.
1.2 A term defined in the singular includes the plural and the converse. "Including" means including without limitation. Headings do not affect construction. A reference to a statute includes it as amended and any successor provision.
1.3 There is nothing outside this document. These Terms and Schedule 1 create the relationship and are the whole of it. No page on TI's website, no application form, no email, no orientation session, no answer given by any person at TI, and no marketing material is a term of this agreement or varies one.
2.1 Appointment. On acceptance of your application, TI appoints you as an Authorized Temporal Intelligence Provider, and you accept the appointment on these Terms. The designation is personal to you, and where you trade under a business name you may use that name alongside it.
2.2 Non-exclusive, and no protected position. The appointment is non-exclusive in every respect. You receive no territory and no exclusive or protected market, industry, vertical, segment or client list, and no right of first refusal over any of them. Your designation, standing, status, access, price and every right under these Terms are independent of whether you ever place an order and of how many.
2.3 What these Terms do not govern. Purchases you make directly from TI through temporalread.com are governed by TI's terms of use for that surface, and your use of the AKASHA application is governed by its own subscription terms.
3.1 Grant. For the term of these Terms, TI grants you a non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable licence, worldwide, to use the Marks solely to identify yourself as an Authorized Temporal Intelligence Provider, to advertise, promote, market, offer, describe and sell access to a Designated Report, and to use Approved Materials. This is a right to market and to sell access, and you may exercise it notwithstanding that TI, and not you, produces and delivers the Report.
3.2 Form and standards. The Marks are used only in the form TI supplies. You will not alter, restyle, abbreviate, translate, animate, recolor, or combine any Mark with any other mark, name or element to form a composite or new mark. You will comply with Schedule 1 Parts B and C, which TI may replace at any time by publishing a replacement at the address in Article 14.7. A replacement takes effect thirty (30) days after it is published and without further agreement, and TI owes no notice of a replacement. The only purpose for which TI may enforce Schedule 1 is to protect the Marks and the goodwill in them, and it may not be exercised as control over how you operate your business.
3.3 No ownership, no registration, no challenge. All right, title, interest and goodwill in the Marks, and all right, title and interest in the Materials, remain with TI or its licensors. Supplying a Certificate transfers nothing but the Certificate. You acquire no interest in either, will not register or apply to register any Mark or anything confusingly similar, and will not challenge the validity or ownership of any Mark or of any copyright in the Materials.
3.4 What you may do with a Report. Where a Client has elected under Article 6.2 that you receive a copy of their Report, TI grants you a personal, non-transferable, revocable licence to use that Report with that Client, in your sessions and work with that Client, and for no other purpose. You will not:
(a) publish a Report, post it publicly, or make it available to anyone other than the Client it was prepared for;
(b) quote from, excerpt, summarise or reproduce any part of a Report in marketing, promotional, teaching or published material, whether or not the Client is identified;
(c) use a Report, or any part of it, with any person other than the Client it was prepared for;
(d) resell, sublicense, rent or otherwise transfer a Report;
(e) create derivative works from a Report or from the Materials, or reverse engineer, decompile or attempt to derive the Materials from any Report;
(f) use a Report or the Materials to train, fine-tune or build a machine-learning or artificial-intelligence model or system; or
(g) access, copy, install, host, execute, modify or otherwise use any software component of the Materials, or seek to obtain it from TI, from any Client, or from any other source. No licence of any software component is granted by these Terms or by any supply of a Certificate or a Report.
3.5 Reports are not samples. You will not use any Report produced for any person as a sample, example, case study, demonstration or promotional material of any kind without that person's separate written permission for that use.
3.6 What stops on termination. On termination of these Terms, for any reason, the licence granted by this Article ends. You will immediately cease all use of the Marks, the designation and the Approved Materials, cease to hold yourself out as an Authorized Temporal Intelligence Provider or as authorized, appointed, approved, endorsed or connected with TI in any way, and remove all of it from every website, landing and checkout page, social account and profile, email signature, directory listing, presentation and document under your control. Where TI suspends your use of the Marks under Article 11.4, this Article applies from TI's notice of suspension and for as long as the suspension continues, and your rights resume in full when TI notifies you that it is lifted.
4.1 Price. TI publishes its wholesale price for Certificates and may change it at any time, including by offering time-limited, promotional, individually negotiated or legacy rates. The price applicable to an order is the price in effect when that order is placed, and once placed it does not change. No price TI offers is conditioned on how many Certificates you order or have ordered.
4.2 Ordering. You may order any quantity at any time and are under no obligation to order any. Payment is due in full at the time of order, and TI issues the Certificates on receipt of settled funds. Certificates are bought as inventory for resale by you to your own clients, and title passes to you on issue. You represent that you acquire Certificates principally for supply to your own clients in the ordinary course of your business. This representation does not limit Article 6.5.
4.3 What a Certificate is redeemable for.
(a) Each Certificate is redeemable for one (1) Designated Report, being the Designated Report TI identified for that Certificate when it was bought, and for no other Report. TI identifies that Report on the order, on the Certificate record, and on request.
(b) A Certificate entitles the holder to the written Report and to nothing else. No call, session, walkthrough or consultation with any person at TI is included with a Certificate or with a Report produced on a Redemption.
(c) A Certificate does not expire and carries no dormancy, inactivity, maintenance or other fee.
(d) A later change to TI's wholesale or retail price for that Report, or for any other Report, does not affect a Certificate already bought.
4.4 Final sale, and reissue. A purchase of Certificates is final, in whole or in part, on termination or at any other time, and Article B.2 governs. If a code is lost, corrupted or sent in error, TI will reissue it on request. Reissue is not a refund, does not change the number of Certificates you hold, and voids the code it replaces.
4.5 Taxes. TI's published wholesale price is exclusive of tax, and where TI is required to charge tax on a supply of Certificates to you it charges it in addition and states it on the order. You are responsible for every tax arising on your own resale of a Certificate and on your own supply to a Client, and for registering, collecting, reporting and remitting it where the law that applies to you requires. You will supply TI with any resale or exemption certificate, registration number or equivalent document TI reasonably requests. TI gives no tax advice and takes no position on your tax obligations.
5.1 Price freedom. You set your own price, in your own packages, on your own terms. TI does not set, suggest, recommend, require, approve, monitor, record or receive that price, and no person at TI may state a recommended, typical, suggested or minimum resale price.
5.2 Your clients are your own. You contract with your own clients on your own terms. TI is not a party to that contract, gives no undertaking under it, and has no obligation arising from it.
5.3 What TI does not direct. TI does not direct, control, approve, supervise or require anything about your pricing, packaging, offer construction, marketing, advertising, sales method, client selection, staffing, premises, systems, records or business plan. TI does not provide a marketing plan, a sales program, a business plan, or a method of operating your business, and has not represented that it will. No statement by any person at TI, on any TI page, or in any application or recruitment material is a representation to the contrary, and any such statement is of no effect.
5.4 What TI may make available. TI may make available, free of charge and without condition, training on TI's own product, order and Certificate mechanics, the usage standards, Approved Materials, a written FAQ, orientation to these Terms, and notices of changes. TI is under no obligation to make any of it available and may change or withdraw any of it at any time. Whether you use any of it is your own decision and affects nothing under these Terms.
5.5 Your own compliance. You are responsible for your own taxes, insurance, licensing, professional obligations, and compliance with every law that applies to you, including any law governing the use of a regulated title in your jurisdiction.
5.6 Provider community. TI may offer community calls, sessions or resources for Authorized Providers. Participation is free and optional, is never a condition of your designation or standing, and carries no fee of any kind. TI may offer, change or discontinue any of it at its discretion.
6.1 How redemption works. You supply a Certificate code to a Client. The Client redeems it themselves, directly with TI, on TI's redemption page, and gives TI the information TI needs to produce the Report. TI deals with the Client directly for redemption and for delivery.
6.2 The client's copy decision is the client's. At redemption, TI asks the Client whether they wish you to receive a copy of the Report. This is the Client's affirmative choice and only the Client can make it. Where the Client so chooses, you are copied on the delivery email and the email says so. Where the Client does not so choose, you do not receive the Report, and TI does not tell you what the Client chose.
6.3 No side channel. You will not ask TI to disclose, and TI will not disclose, any Client's birth data, intake answers, Report contents or copy election other than as set out in Article 6.2. TI collects from a Client only what TI needs to produce and deliver the Report.
6.4 No backfilled consent. You will not submit, and will not procure the submission of, any person's information to TI through any route other than TI's own redemption form. Consent cannot be obtained retrospectively and TI will not accept it.
6.5 Self-redemption. You may redeem a Certificate you hold on yourself or on any other person, however you wish. No compensation is paid to any person on a Certificate bought or redeemed by an Authorized Provider.
6.6 Fulfilment. TI's published turnaround is three (3) to five (5) business days from redemption, counted on United States Eastern business days. Turnaround is a target and not a term, and TI gives no undertaking as to the time in which any particular Report is produced.
6.7 What a Report is for. A Report is provided for informational and educational purposes. It is not medical, psychological, legal, financial or other professional advice, and it is not a substitute for advice from a qualified professional. Decisions taken in reliance on a Report are the responsibility of the person taking them.
7.1 The designation. You may describe yourself as an Authorized Temporal Intelligence Provider, and you use the full designation on every client-facing surface. "Authorized Provider" is the permitted short form in documents.
7.2 What you may not call yourself. You will not describe yourself, or permit any person to describe you, as certified, certificated, accredited, credentialed, licensed, qualified, trained or endorsed by TI, or as an analyst, practitioner, instructor, fellow, reader, specialist, advisor, master or expert in TI's method. TI operates no program conferring any of those and has assessed nobody's competence. You will not use any title that is regulated in your jurisdiction.
7.3 Permitted verbs. In describing what you do with a Report, you may say that you sponsor, provide, supply, bring, include or host it. You will not say that you interpret, read, analyze, diagnose or deliver the analysis.
7.4 Describing the Products. You will describe the Products only in Approved Materials or in terms consistent with them. Use of Approved Materials verbatim always satisfies this Article.
7.5 You will not claim use, results, or client results that are not true of you.
(a) You will not state or imply that you have bought, held, redeemed, used, read or received any Report or any other TI product unless that is true of you.
(b) You will not state or imply that you have experienced any result, benefit, insight or outcome from any TI product unless that is true of you.
(c) You will not state or imply that your own clients have received, used or benefited from any TI product unless that is true.
(d) Each of the following is prohibited unless it is literally true of you, and they are set out so that the standard is not left to guesswork: "I use this with my clients." "This changed how I work." "My clients get this from me." "When I read mine..." "Everyone I have sent has come back and told me..."
(e) This Article is not a restriction on enthusiasm. Where you have not held the product, you may say what it is, what it does, who TI says it is for, and that in your own honest opinion it is worth looking at. Describing a thing without claiming to have used it is a complete and legitimate way to recommend it.
7.6 No earnings or income representations, in either direction. You will not state, publish, imply or provide to any person any figure, range, illustration, projection, average, example or testimonial concerning income, earnings, revenue, profit, margin, sales volume or business results arising from TI, its products or the Program. TI likewise makes none, and no figure TI publishes describes what any Authorized Provider has earned or will earn.
7.7 TI's retail price. Where TI's direct-to-public price for a Report appears on a TI surface, it describes TI's own direct offer, which includes a live one-to-one call. It is not a valuation, not a suggested resale price, and not an indication of what any Authorized Provider charges, receives or earns. You will not present it as any of those, and will not place it beside the price you paid TI or beside any other figure from which a margin can be computed.
7.8 No health, medical or condition-diagnostic claims. You will not state or imply that a Report or TI's method diagnoses, treats, cures, prevents, explains the cause of, or bears on any medical, psychiatric or psychological condition, and will not use curative or condition-diagnostic language about any person. This Article is absolute and has no exception.
7.9 No guarantee travels, and no call is included. You will not offer, extend, imply or characterize any guarantee, warranty, refund or money-back promise on TI's behalf to any person. You will not state or imply that a call, session, walkthrough or consultation with any person at TI is included with, or available in connection with, a Report produced on a Redemption.
7.10 No claim about clients or leads. You will not state or imply that TI supplies, refers or generates clients, leads or customers for Authorized Providers.
7.11 Scope. This Article applies to every medium, including websites, social posts, video, podcasts, live speaking, direct messages, email and conversation. It survives termination.
8.1 The obligation attaches to the recommendation. Where you recommend, endorse or promote TI or the Products in circumstances in which you are or may be compensated in connection with that recommendation, you will disclose that connection clearly and conspicuously, in the recommendation itself, at the moment it is made. A disclosure carried on a TI page, a landing page, a terms page, a footer, or a destination the reader may visit later does not discharge this obligation.
8.2 Supplied wording. TI supplies the disclosure wording in Schedule 1 Part D. Use of that wording, in the recommendation itself, always satisfies Article 8.1.
8.3 Honest opinion and actual experience. Any statement you make about the Products must reflect your own honest opinion, findings, belief or experience. You will not state or imply personal use, personal results or client results that are not true of you.
8.4 This Article is a minimum. It reflects the requirements of the FTC Endorsement Guides at 16 C.F.R. Part 255. Where those Guides, any other law that applies to you, or the published rules of any platform on which you publish require a disclosure that is earlier, clearer, more prominent or more detailed, you will make that disclosure. Your compliance with the law that applies to you is your own responsibility.
9.1 The mechanism. TI issues you a personal referral link. A coach or practitioner you consider suited to the Program may apply through it, and TI records the attribution at the moment of application. TI decides who is admitted. An application made through your link is not an admission and creates no relationship between TI and the person who applies. Putting a name forward changes nothing about your own designation, standing, status, price or access.
9.2 The two triggers, and only these. Compensation accrues to you where TI's own records recorded, at the time of the relevant admission, that:
(a) TI admitted a person as an Authorized Provider who was referred by you, in which case you accrue on each Redemption of a Certificate supplied by that person; or
(b) that person in turn referred a further person whom TI admitted as an Authorized Provider, in which case you accrue on each Redemption of a Certificate supplied by that further person.
Nothing else gives rise to compensation. There is no further tier and none may be created.
9.3 Rates. Ten percent (10%) of the Wholesale Price actually paid for the redeemed Certificate under Article 9.2(a), and five percent (5%) under Article 9.2(b). Both rates are standing terms of these Terms, apply automatically to every Authorized Provider, and are conditional on nothing. No other rate is payable under these Terms, and no compensation is payable on a purchase made directly from TI by any person.
9.4 Forward only. Compensation accrues only on a Redemption occurring after these rates began to apply to you, and never retroactively over a Redemption already past.
9.6 Flat, and never on a headcount. Each rate is a single fixed percentage. Neither rate escalates, steps or varies with any number of persons referred, or with any volume, threshold, quota, target, ranking, status or period of continued performance. No compensation accrues by reason of the admission of any person, the number of persons referred or admitted, or the purchase of Certificates by any person in any quantity, and none accrues on any purchase or Redemption by a person who is themselves an Authorized Provider, or who is otherwise registered with TI in a capacity TI compensates, at the time of that transaction.
9.5 Accrual. Compensation accrues on TI's delivery of the Report produced on that Redemption, and not on the Redemption itself, at the rate in force on the delivery date. A Redemption whose Report is never delivered gives rise to no compensation. A correction to an accrual record is made by a further record rather than by amending the accrual.
9.7 Payment. TI pays accrued compensation monthly in arrears, within thirty (30) days after the end of the calendar month in which it accrued. Where the total accrued and unpaid balance is less than $100 at a payment date, TI may carry it forward and pays it at the first payment date the threshold is met; the threshold does not apply once these Terms have terminated. TI pays by the method it designates from time to time and may change that method on written notice to you. No interest accrues except as required by law. TI has no obligation to pay until it holds a current and valid IRS Form W-9 from you, or Form W-8BEN or W-8BEN-E where you are not a United States person, and TI reports and withholds as required by law.
9.8 Set-off and repayment. TI may set off against any amount payable to you any amount owing to TI. Compensation accrued or paid on a transaction that is afterwards refunded, reversed, charged back, voided or determined not to have qualified is cancelled to the extent unpaid, is repayable to TI on demand to the extent paid, and may be set off.
9.9 Disclosure and confidentiality. Where you recommend the Program in circumstances engaging Article 8, the fact of compensation is disclosable and must be disclosed. The rate and the method by which it is computed are Confidential Information and are not.
10.1 Each party will keep the other's Confidential Information confidential, use it only for the purposes of these Terms, and not disclose it except to those of its personnel and advisers who need it and are bound to equivalent obligations.
10.2 TI's "Confidential Information" includes TI's prices, rates and rate structure, the Materials, TI's methodology and know-how, TI's unpublished product plans, and any Client information you receive. It does not include the text of these Terms, which TI publishes.
10.3 Confidential Information does not include information that is or becomes public other than by breach, was known to the recipient without obligation, or is independently developed. Disclosure required by law is permitted, with notice where lawful.
10.4 This Article survives termination for five (5) years, and indefinitely as to any Client's personal information.
11.1 Term. These Terms begin on the Effective Date and continue until terminated under this Article. There is no fixed term and nothing renews.
11.2 By you, at any time. You may terminate at any time, for any reason or none, by written notice to the address in Article 14.6. No notice period applies and no charge arises.
11.3 By TI. TI may terminate on thirty (30) days written notice, and immediately on written notice on: any breach of Article 7 or Article 8; any use of a Mark outside Article 3, or any conduct materially damaging to the Marks; fraud, dishonesty, or conduct materially damaging to TI's reputation; any purported assignment in breach of Article 14.1; or any other material breach not cured within fifteen (15) days of written notice.
11.4 Suspension. TI may suspend your use of the Marks and the designation, on notice, pending investigation of a suspected breach of Article 3 or Article 7. Suspension does not affect any Certificate already in a Client's hands.
11.5 No termination charge, and no buy-back. Neither party owes the other any payment by reason of termination. TI does not repurchase, redeem for cash or credit, or refund any Certificate on termination or at any other time.
11.6 Certificates on termination.
(a) A Certificate held by a Client is honoured. A person presenting a valid, unredeemed code will have it redeemed and will receive their Report, exactly as they would have before. This is not conditional on your standing, and a Certificate never lapses.
(b) A Certificate that has not reached a Client stops being redeemable by you, and your permission to redeem a Certificate yourself ends. TI determines which Certificates have reached a Client from its own redemption and supply records.
11.7 Effect on others. Termination as between TI and you has no effect on the status, rights or agreements of any other Authorized Provider.
11.8 Correction and withdrawal. On termination you will immediately cease making any statement about TI or its products, and will correct or withdraw any published statement about TI where reasonably possible, at TI's request.
11.9 Survival. Articles 3.3, 3.4, 3.5, 3.6, 4.4, 7, 8, 9.4 to 9.9, 10, 11.6, 11.8, 12, 13 and 14 survive termination.
12.1 Reports are provided AS IS. To the fullest extent permitted by law, TI disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12.2 No outcome undertaking. TI does not guarantee the accuracy, completeness or suitability of any Report, any outcome for any person, or any result in your practice or in any person's life or business. No guarantee, warranty or undertaking of any kind is given by TI to any Client, and you will not represent otherwise.
12.3 TI will not mediate. TI does not intervene in, mediate, arbitrate, adjudicate or take any position on any dispute between you and a Client, and owes you no obligation in relation to one.
12.4 Indemnity. You indemnify TI against all losses, claims, damages, penalties and reasonable costs arising from: any breach of Article 7 or Article 8; any statement about TI or its products that was not in Approved Materials; any claim by a Client arising from your own conduct, contract, pricing or representations; and any use of a Mark outside Article 3.
12.5 Exclusion. To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business or loss of goodwill, whether in contract, tort or otherwise, and whether or not advised of the possibility.
12.6 Cap. To the fullest extent permitted by law, TI's total liability arising out of or relating to these Terms will not exceed the greater of (a) the total amount you paid TI in the twelve (12) months before the event giving rise to the claim, or (b) $100. This cap does not apply to TI's obligation under Article 11.6(a) to honour a Certificate held by a Client, and TI's liability for a failure to honour a Certificate you have paid for is limited instead to the amount you paid TI for that Certificate.
12.7 Some jurisdictions do not allow some of these limitations. Where that is so, they apply only to the extent permitted.
13.1 TI may change the Program, its products and its published prices at any time.
13.2 TI may change these Terms by publishing the updated Terms at the address in Article 14.7 with a new version number and a new effective date. A change takes effect on that date. TI owes no notice of a change to any person, and it is your responsibility to consult the current version, which is available at that address at all times.
13.3 A change is prospective only, and this limit is absolute. No change applies retroactively, to any claim that has already accrued, or to any dispute that has already arisen, and Articles 12 and 14.8 as they stood when that claim accrued or that dispute arose continue to govern it.
13.4 A change does not reach a Certificate already bought. A Certificate keeps the terms it was bought on, including the absence of expiry and the Designated Report identified for it. No change reduces TI's obligation under Article 11.6(a).
13.5 Continued participation is acceptance. If you do not accept an updated version you may terminate under Article 11.2 at any time, at no cost, and Article 11.6(a) continues to protect every Certificate already in a Client's hands.
13.6 TI's ability to change these Terms is not consideration for, and is not essential to, any other provision. The consideration for these Terms is TI's appointment of you under Article 2.1 and the rights TI grants you under Article 3.
14.1 Assignment. You may not assign, transfer, delegate or sublicense these Terms or any right under them, including by operation of law, without TI's prior written consent. The designation is personal to you and does not pass to any successor, acquirer, estate or heir. TI may assign in connection with a merger, acquisition, reorganization or sale of assets, on notice.
14.2 Entire agreement. These Terms and Schedule 1 are the entire agreement between the parties about their subject matter and supersede every prior discussion, representation and understanding about it, including every prior version of these Terms. Nothing in this Article excludes or limits liability for fraudulent misrepresentation.
14.3 Severability and waiver. If a provision is unenforceable the rest stand, and the remainder is construed and enforced as if that provision had not been included. A failure to enforce waives nothing and creates no obligation of consistency toward any person.
14.4 No third-party rights, except that Article 11.6(a) is intended to be enforceable by a person holding a Certificate.
14.5 Notices. In writing, to the address in Article 14.6, or by email to [email protected] and to your registered email, deemed received on the next business day. You will keep your registered email current, and a notice sent to it is effective whether or not you read it.
